2、gStockOptionAbstractThe high technology enterprise is main important body of technical innovation. In our country,the high- tech enterprise has already made much progress. However, with the advancement of theeconomical g

3、lobalization, the advantage of the high- tech enterprise is not obvious in the intenseinternational market competitive. It is urgent for the high- tech enterprise to excavate its impetusfunction to the economical develop

4、ment. One of the basic reasons which restrict the high- techenterprise development in our country is the incentive mechanism shortage of property rights .To maintain the continuous innovation power and promote the enterp

5、rise’ s core competitivepower, the high- tech enterprise must establish the property rights system to stimulate thepotential creativity of talented person. Therefore, in view of the high- tech enterprise's currentsit

6、uation in our country, I will try to prove the realization form of incentive mechanism ofproperty rights in the high- tech enterprise through stock option.It not only has certain theoreticalsignificance, but also has som

7、e urgent practical significance.As the theory foundation ,it firstly points out that because of technology innovation’ s spilleffect , it needs property rights to provide security and incentive. As property rights cansaf

8、eguard the innovator’ s income maximization, so it can encourage the innovator’ s creativepower.Secondly it points out: the idiosyncratic human capital owner's innovation ability is the mostimportant resource in the

9、knowledge- economy times. Through analyzing the distinctive qualityof the high- tech enterprise’ s contract, it points out the tendency of the high- tech enterprise’ scontract, which is from “ capital employing labor”to

10、“ labor employing capital” .Then beginningwith the characteristic of the idiosyncratic human capital owner’ s property rights, this thesis putsforward that the idiosyncratic human capital should share the enterprise’ s r

11、emnant as theycontrol the remnant. So it should establish the reasonable and effective system of property rightswhich adapts to the knowledge- economy times.Then it introduces stock option— — the successful experience of

12、 incentive mechanism ofproperty rights in developed countries, analyzing stock option’ s action mechanism and the unionsuperiority of stock option with the high- tech enterprise.It sets up a model to prove theconclusion

13、that the idiosyncratic human capital owner is the premier for stock option’ s incentiveobject.Finally it elaborates the stock option’ s incentive situation in our high- tech enterprises, pointedout the realistic barrier
