12、xin” ， “Zentric” and “Jet Glory” will hereinafter be referred to collectively as the “Parties” and individually as a “Party”.</p><p>　　鑒于恒信，Zentric和捷榮三方為在中國開發(fā)并運營一間電池廠（下稱“項目”）而希望達成一份合資協(xié)議，同意由三方在中國并根據(jù)中國有關法律法規(guī)組建

13、一個中外合資的有限責任公司（下稱“合資公司”）；</p><p>　　WHERE AS Hengxin , Zentric and Jet Glory wish to enter into a joint venture agreement for the purpose of developing and operating a Battery Manufacture in China (the "P

14、roject"), and upon friendly negotiations, in which they have agreed to establish a limited liability joint venture company (the “Company”) in China in accordance with the relevant Chinese laws and regulations;</p

15、><p>　　因此，根據(jù)《中華人民共和國中外合資企業(yè)法》及其實施細則以及中國其他有關法規(guī)的規(guī)定，依照平等互利的原則，雙方達成如下協(xié)議：</p><p>　　NOW THEREFORE, in accordance with the Law of the People’s Republic of China on Chinese-Foreign Equity Joint Venture, the

16、 implementing regulations thereof and other legal regulations of China and the principle of equality and mutual benefit, THE PARTIES HERETO HEREBY AGREE AS FOLLOWS:</p><p><b>　　1.</b></p>

17、<p>　　釋義INTERPRETATION</p><p>　　除非本協(xié)議另有規(guī)定，本協(xié)議中使用的下列詞語具有如下含義：</p><p>　　In this Agreement unless the terms or context of this Agreement otherwise provide, the following terms shall have the m

18、eanings set out below:</p><p><b>　　1.1</b></p><p>　　某公司的“附屬公司”指被該公司通過持有有表決權的股票、股權或其他方式，直接或間接地控制的公司，或被該公司與其他公司共同控制的公司?！翱刂啤币庵高x派多數(shù)董事或領導管理機構的權利.</p><p>　　“Affiliate” of a co

19、mpany shall mean any company which, through ownership of voting stock, equity interests or otherwise, directly or indirectly, is controlled by, under common control with, or in control of, such company; the term “control

20、” being used in the sense of power to elect a majority of directors or to direct management.</p><p><b>　　1.2</b></p><p>　　“章程”指合資公司的章程。</p><p>　　“Articles of Association

21、” shall mean the Articles of Association of the Company.</p><p><b>　　1.3</b></p><p>　　“董事會”指合資公司的董事會</p><p>　　“Board” shall mean the board of directors of the Company.&l

22、t;/p><p>　　吉林北美鑫捷科技有限公司，是根據(jù)恒信，Zentric和捷榮根據(jù)合資企業(yè)法律法規(guī)和其他有關規(guī)定以及本協(xié)議的規(guī)定設立的中外合資有限責任公司。</p><p>　　“Company” shall mean [Jilin Zentric Inc.], the joint venture limited liability company formed by Hengxin , Z

23、entric and Jet Glory pursuant to the Joint Venture Law, the Joint Venture Regulations, other relevant PRC laws and this Agreement.</p><p><b>　　1.4</b></p><p>　　“完成日期”指合資公司獲取營業(yè)執(zhí)照的日期。&

24、lt;/p><p>　　“Completion Date” shall mean the date on which the Company receives the issuance of business license.</p><p><b>　　1.5</b></p><p>　　“保密信息”指所有秘密的不為公眾知悉的信息、專有技術和記錄

25、（無論以何種形式存在），包括但不限于恒信，Zentric和捷榮根據(jù)本協(xié)議的規(guī)定作為出資而向合資公司提供的信息、專有技術和記錄，以及所有公式、設計、規(guī)格、圖表、數(shù)據(jù)、手冊和說明、客戶名單、銷售信息、商業(yè)計劃和預測，技術或其他專門技術（包括電腦軟件）。</p><p>　　“Confidential Information” shall mean all information, know-how and recor

26、ds (in whatever form held) including but not limited to all information, know-how and records to be supplied by Hengxin , Zentric and Jet Glory to the Company as part of its contribution to the capital of the Company pur

27、suant to this agreement and all formulas, designs, specifications, diagrams, data, manuals and instructions, customer lists, sales information, business plans and forecasts, technical or other expertise (inc</p>&

28、lt;p><b>　　1.6</b></p><p>　　“商務部”指中華人民共和國商務部。</p><p>　　“Ministry of Commerce” shall mean Ministry of Commerce of the People’s Republic of China.</p><p><b>　　1.7&

29、lt;/b></p><p>　　“合資企業(yè)法”指（不時修訂的）《中華人民共和國中外合資企業(yè)法》。</p><p>　　“Joint Venture Law” shall mean the Law of the PRC on Chinese-Foreign Equity Joint Ventures (as amended from time to time).</p>

30、<p><b>　　1.8</b></p><p>　　“合資細則”指（不時修訂的）《中華人民共和國中外合資企業(yè)法》實施細則。</p><p>　　“Joint Venture Regulations” shall mean the Regulations for the Implementation of the Law of the PRC on Ch

31、inese-Foreign Equity Joint Ventures (as amended from time to time).</p><p><b>　　1.9</b></p><p>　　“中國”指中華人民共和國。</p><p>　　“PRC” is the People’s Republic of China.</p>

32、;<p><b>　　4</b></p><p><b>　　1.10</b></p><p>　　“中國法律”指中國國家法律法規(guī)和規(guī)章以及省級和市級的地方法規(guī)和規(guī)章。</p><p>　　“PRC laws” shall mean national laws, regulations and rules a

33、s well as provincial and municipal rules and regulations of the PRC.</p><p><b>　　1.11</b></p><p>　　“人民幣”指中國法定的流通貨幣。</p><p>　　“Yuan” or “RMB” shall mean the lawful curren

34、cy of the PRC.</p><p><b>　　1.12</b></p><p>　　“外管局”指中國國家外匯管理局或其在各地的分部，或中國政府授權 進行外匯管理的其他機構。</p><p>　　“SAFE” shall mean the State Administration for Foreign Exchange of the

35、 PRC or a branch thereof, or such other agency(ies) authorized by the Government of PRC to regulate exchange control in the PRC.</p><p><b>　　1.13</b></p><p>　　“工商局”指中國國家工商行政管理總局或其在各地

36、的分支機構，或中國政府授 權對公司進行登記注冊的其他機構。</p><p>　　“SAIC” shall mean the State Administration for Industry and Commerce of the PRC or a branch thereof, or such other agency(ies) authorized by the Government of the PRC,

37、 to register companies in the PRC.</p><p><b>　　1.14</b></p><p>　　“美元”指美利堅合眾國的法定流通貨幣。</p><p>　　“United States Dollars” or “US$” shall mean the lawful currency of the Unit

38、ed States of America.</p><p><b>　　1.15</b></p><p>　　“協(xié)議”指本中外合資經(jīng)營協(xié)議以及進度表和附件。</p><p>　　“Agreement” shall mean this Joint Venture Agreement and its schedules and appendices

39、.</p><p>　　除非本協(xié)議另有規(guī)定，本協(xié)議中用于單數(shù)的詞語也包含復數(shù)（反之亦然）， 而</p><p>　　用于某 男性的詞語也包括女性（反之亦然）。</p><p>　　本協(xié)議條、款、節(jié)、分節(jié)、段落、小段的劃分以及標題的加注僅供參考方便之用，不得影響或被用于解釋或詮釋本協(xié)議。</p><p>　　Unless there be so

40、mething in the subject or the context inconsistent therewith, words </p><p>　　importing the singular only shall include the plural and vice versa, and words importing</p><p>　　the masculine gend

41、er shall include the feminine gender, and vice versa.</p><p>　　The division of this Agreement into Articles, Clauses, Sections, subsections, paragraphs and subparagraphs and the insertion of titles are only

42、meant to be reference and do not affect the meaning or the interpretation of the present Agreement.</p><p><b>　　2.</b></p><p>　　合資公司的成立ESTABLISHMENT OF THE JOINT VENTURE COMPANY</

43、p><p>　　2.1根據(jù)本協(xié)議所規(guī)定的條款和條件，并有賴于雙方在本協(xié)議中所作出的聲明、保證和承諾，雙方同意根據(jù)合資公司章程、合資企業(yè)法、合資細則以及中國其他法律法規(guī)和本協(xié)議的規(guī)定，組建合資公司。</p><p>　　Subject to the terms and conditions of this Contract and in reliance upon the representat

44、ions, warranties and undertakings in this Agreement, the Parties hereby agree to establish the Company pursuant to the Articles of Association and in accordance with the Joint Venture Law, the Joint Venture Regulations a

45、nd other relevant PRC laws and regulations and the provisions of this Agreement.</p><p><b>　　3.1</b></p><p>　　組成Formation</p><p>　　若三方對調研結果滿意，同意組成合資公司并發(fā)展，操作該項目，則雙方比例分配如下

46、：</p><p>　　Zentric （或其指定子公司）：70%</p><p>　　恒信 (或其子公司)：20%</p><p>　　捷榮 (或其指定子公司): 10%</p><p>　　If each of the parties hereto is satisfied with the results of the Study, t

47、he parties agree to form a joint venture for the purpose of developing and operating the Project by way of a corporate entity of which they will each hold the following percentage of all issued and outstanding shares:<

48、;/p><p><b>　　i.</b></p><p>　　ZENTRIC (or any affiliated company designated by Zentric): 70%;</p><p><b>　　ii.</b></p><p>　　HENGXIN (and/or its Asso

53、ities in other provinces in the PRC with the consent of the Board and the approval of the Authority (ies) which approved this Agreement.</p><p>　　法律和法令Laws and Decrees</p><p>　　合資公司為中國法律體系下的法人，其

54、活動受中國法律、法規(guī)以及其他規(guī)則和規(guī)定的制約和保護。</p><p>　　The Company shall be a legal person under PRC laws. The activities of the Company shall be governed and protected by the laws, regulations and relevant rules and regulatio

55、ns of the PRC.</p><p><b>　　3.4</b></p><p>　　有限責任公司Limited Liability Company</p><p>　　合資公司是根據(jù)中國法律法規(guī)設立的有限責任公司。合資雙方根據(jù)各自在注冊資本中所占的比例分享利益并承擔風險和損失。</p><p>　　The Co

56、mpany shall be a limited liability company, founded in accordance with the laws and regulations of China. The Parties shall share the profits and assume the risks and losses in the proportion to their respective shares o

60、f the Company</p><p>　　合資公司的生產(chǎn)目的是，本著加強經(jīng)濟合作和技術交流的愿望，采用先進而適用的技術和科學的經(jīng)營管理方法，建立一個先進的電池生產(chǎn)廠；</p><p>　　The purpose of the Company is to establish a battery manufacturer with advanced and proper technolo

61、gy and scientific business and management methods under the expectation of strengthening economic cooperation and technical communications.</p><p>　　經(jīng)營范圍Business Scope of the Company</p><p>　　合營

62、公司經(jīng)營范圍是，制造,營銷和供應有關電池產(chǎn)品給中國和國際市場。</p><p>　　JV Company will produce,sell and supply the batteries to the market </p><p>　　of China and Internationally.</p><p>　　5注冊資本和投資總額Registered C

68、t;<p>　　Zentric’s contribution to the registered capital of the Joint Venture Company shall be the equivalent of Twelve million Yuan (RMB) , and also the release of its exclusive right to produce the product of it

71、 10 percent shares of the JV Company: </p><p><b>　　(1)</b></p><p>　　Form and establish the JV company ;</p><p><b>　　(2)</b></p><p>　　Assist i

72、n the planning of establishing a manufacturer; and</p><p><b>　　(3)</b></p><p>　　Assist in the sale of the products in China and international market.</p><p>　　5.4 出

73、資證明書Investment Certificates</p><p>　　恒信或Zentric 或捷榮完成對注冊資本的出資后，在國內注冊的會計師應驗證各方的有關出資并出具驗資報告。有關費用由合資公司承擔。合資公司在收到驗資報告后三十（30）日內，應分別向恒信和Zentric和捷榮出具一份由董事長簽署的載明各方出資的出資證明書。</p><p>　　Promptly on or after

76、ive contributions to the registered capi</p><p>　　6 股權轉讓Assignment of shares</p><p><b>　　6.1</b></p><p>　　根據(jù)本協(xié)議下文規(guī)定的條款和條件，任何一方（轉讓方）未經(jīng)另一方的事先書面同意，均不得將其在合資公司的全部或部分出

77、資轉讓、出售或者以其他方式處理給第三方。</p><p>　　Subject to the terms and conditions set forth below, no Party (assignor) may assign, sell or otherwise dispose of all or any part of its capital investment in the Company to any

78、 third party without prior written consent of the other Parties.</p><p><b>　　6.2</b></p><p>　　盡管本協(xié)議有其他規(guī)定，Zentric有權在任何時候將其在本協(xié)議和本項目中的部分或全部權利、財產(chǎn)權和利益轉讓給其書面向恒信書面指定的關聯(lián)公司。此時，則“Zentric”名稱應指明

79、為相應的關聯(lián)公司（此術語在《美國商業(yè)公司法》中有明確定義），且Zentric集團公司自動免除其已轉讓的本協(xié)議項下的各項義務。</p><p>　　恒信據(jù)此同意Zentric將其在合資公司中的部分或全部利益轉讓給 Zentric的關聯(lián)公司，并放棄對Zentric向其一個或多個海外關聯(lián)公司轉讓利益的優(yōu)先購買權。</p><p>　　Zentric應至少提前三十日將其任何轉讓書面通知恒信。<

80、;/p><p>　　Notwithstanding any other provision of this Agreement, Zentric shall be entitled to assign and transfer, at anytime, all or part of all its rights, titles and interest in this Agreement and in the Pro

81、ject to any of its affiliated company it may designate in writing to Hengxin in which case, the name "Zentric" used hereunder shall designate any such affiliated company and Modena 1, Inc. shall be automaticall

82、y released from any and all its obligations hereunder so assigned and transferred.Hengxin </p><p>　　Zentric will notify Hengxin in writing not less than thirty (30) days prior to any such assignment.</p&g

83、t;<p>　　6.3盡管本協(xié)議有其他規(guī)定，且根據(jù)董事會的批準，若恒信、Zentric , 捷榮或其關聯(lián)公司因法律實施或監(jiān)管機構的要求或因其他原因而須轉讓在合資公司的全部或部分權益的，其應首先向另一方提出要約，或者可以任意處理有關的權益，但另一方在同等價格下有優(yōu)先購買權。</p><p>　　Notwithstanding any other provision in this Agreement

84、and subject to the approval of the Board, in the event that either Hengxin or Zentric or Jet Glory or its Affiliates is required by operation of law or by a regulatory agency or for any other reasons to sell, transfer or

85、 dispose of all or part of its interests in the Company, it shall first offer its interests to the other Party and otherwise shall be free to select the person to whom it shall sell, transfer, or dispose of the equity in

86、terest</p><p>　　7 . 三方提供的融資Financing by the parties</p><p>　　三方為合資公司提供融資和常規(guī)的費用支出的條款應由三方進行協(xié)商，協(xié)商時應考慮、預算方案和研究結果。</p><p>　　The terms by which the parties will provide their financing t

87、o the Company as well as the general categories of costs and expenses will be negotiated and agreed upon by the parties, taking into consideration hereof, the Budget and the results of the Study.</p><p>　　雙

88、方的責任RESPONSIBILITIES OF EACH PARTY TO THE COMPANY</p><p>　　恒信的責任Responsibility of Hengxin</p><p>　　除本協(xié)議規(guī)定的其他義務外，恒信還應履行下列義務：</p><p>　　In addition to its other obligations under this

89、Agreement, Hengxin shall:</p><p>　　8.1.1在Zentric 和捷榮的協(xié)助下進行設立和運營合資公司所必需的審批、許可、發(fā)照和登記等工作；</p><p>　　With the assistance of Zenric and Jet Glory, apply for all necessary approvals, permits, licenses

90、and registrations required for the establishment and operation of the Company;</p><p>　　8.1.2 協(xié)助Zentric 和捷榮和合資公司申請并取得合資公司可享有的稅務優(yōu)</p><p>　　惠 和關稅減免，以及其他可獲得的鼓勵投資的優(yōu)惠待遇；</p><p>　　Assi

91、st Zentric and Jet Glory and the Company in applying for and obtaining preferential tax and customs duty reductions and exemptions and the benefit of other investment incentives available to Zentric and the Company;</

92、p><p>　　8.1.3 協(xié)助合資公司的境外員工以及Zentric和捷榮或其關聯(lián)公司的員工及員工家屬辦理與合資公司業(yè)務有關的出入境手續(xù)，以獲得出入境的簽證，并協(xié)助辦理其住宿和工作簽證問題.</p><p>　　To assist the expatriate employees of the Company and the employees of Zentric and Jet Glor

93、y or its Affiliates and their families of the employees to enter and leave PRC in connection with the Company’s activities in handling procedures to obtain all necessary entry and exit visas, arranging their lodging and/

96、助合資公司招聘地方員工、技術人員、管理人員以及其他職員；</p><p>　　Assist the Company to employ local employees, technical and managerial staff and other personnel;</p><p>　　8.1.7 為合資公司的利益而協(xié)助合資公司與有關部門進行聯(lián)絡；</p><
